The last time these Instructor Terms were modified was on 14 November 2021.
Regardless of whether another Studypro subsidiary arranges payments to you, as an instructor, you are contracting directly with Studypro, Inc. (a Delaware business in the South Africa).
1. Instructor Responsibilities
Lectures, quizzes, coding exercises, practice exams, assignments, resources, answers, course landing page material, labs, assessments, and announcements are all your responsibility as an instructor (“Submitted Content”).
You certify and signify that:
- you will give accurate account information and keep it up to date;
- your Submitted Content will not infringe on or misappropriate the intellectual property rights of any third parties;
- you have the necessary qualifications, credentials, and skills (such as education, training, knowledge, and skill sets) to teach and provide the services that you provide through your Submitted Content and usage of the Services; and
- You will provide a level of service that is consistent with industry standards and teaching services in general.
You promise not to do the following:
- post or offer any content or information that is improper, offensive, racist, abusive, sexist, pornographic, false, deceptive, inaccurate, infringing, defamatory, or libelous;
- upload or transmit over the Services or to any user any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other kind of solicitation (commercial or otherwise);
- utilize the Services for purposes other than providing students with tutoring, teaching, or instructional services;
- engage in any activity that requires us to seek licenses from third parties or pay royalties to them, such as paying royalties for the public performance of a musical composition or a sound recording;
- frame or embed the Services (for example, to embed a free version of a course) or circumvent the Services in any other way;
- pose as someone else or get illegal access to someone else’s account;
- interfering with or obstructing other teachers’ ability to provide their services or content; or
- take advantage of Studypro’s resources, especially its support services.
2. Studypro Licensing
You have the right to withdraw all or any portion of your Submitted Content from the Services at any time, unless otherwise agreed (including within our Promotions Policy). Studypro’s right to sublicense the rights in this section to new users shall expire 60 days after the Submitted Content is removed, unless otherwise agreed. However, (1) student rights granted prior to the removal of Submitted Content will continue in line with the terms of such licenses (including any lifetime access grants), and (2) Studypro’s right to use such Submitted Content for marketing reasons will survive termination.
For quality control and to supply, sell, promote, demonstrate, or operate the Services, we may record and use all or part of your Submitted Content. To the extent permitted by applicable law, you grant Studypro permission to use your name, likeness, voice, and image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the Services, your Submitted Content, or Studypro’s content, and you waive any rights to privacy, publicity, or other similar rights.
3. Confidence and security
3.1 Policies on Trust and Safety
You agree to follow Studypro’s Trust & Safety regulations, Restricted Topics policy, and any other content quality standards or restrictions that Studypro may establish at any time. You should review these policies on a regular basis to ensure that you are following any changes. You acknowledge that your usage of the Services is contingent on Studypro’s permission, which we reserve the right to give or deny at our sole discretion.
We reserve the right to remove content, suspend rewards, and/or prohibit instructors at any time and without warning for any reason, including if:
- a teacher or piece of content violates our standards or legal terms (including the Terms of Service);
- the content does not meet our quality requirements or has a detrimental impact on the learning experience of students;
- an instructor participates in conduct that may reflect negatively on Studypro or bring Studypro into discredit, contempt, scandal, or ridicule in the public eye;
- an instructor hires a marketer or other business partner who breaks Studypro’s terms of service;
- an instructor engages in unfair competition by using the Services to promote their off-site company in a way that violates Studypro’s policies; or
- as determined solely at Studypro’s discretion.
3.2 Teaching Assistants and Co-Instructors
You can add other users as co-instructors or teaching assistants for Submitted Content that you administer on the Studypro platform, but you must follow our Co-Instructor Relationship Rules and Guidelines when doing so. You realize that by adding a co-instructor or teaching assistant, you are giving them permission to take actions that influence your Studypro account and Submitted Content. Your Studypro account and Submitted Content may be affected if your co-instructor or teaching assistant violates Studypro’s rules and policies. Studypro is unable to provide advice or arbitrate any disagreements that may arise between you and such users. If you have assigned revenue shares to your co-instructors, their part will be paid out of your earned revenue share depending on the ratios you selected in your Course Management settings as of the purchase date.
3.3 Interaction with Other Users
Because instructors do not have a direct contractual relationship with students, the only information you’ll get about them comes from the Services. You undertake not to use the data you receive for any purpose other than providing your services to students on the Studypro platform, and that you will not request additional personal data from students or keep their personal data outside of the Studypro platform. You promise to hold Studypro harmless from any claims resulting from your use of students’ personal information.
3.4 Efforts to Combat Piracy
To assist safeguard your content from unlawful use, we work with anti-piracy suppliers. You hereby appoint Studypro and our anti-piracy vendors as your agents for the purpose of enforcing copyrights for each of your content, including through notice and takedown processes (under applicable copyright laws as promulgated by the South African constitution and applicable international laws) and other efforts to enforce those rights. You authorize Studypro and our anti-piracy providers to file notices on your behalf to protect your copyright interests.
You agree that Studypro and our anti-piracy providers will maintain the above rights unless you withdraw them by sending an email to piracy@Studypro.co.za from the email address connected with your account with the subject line “Revoke Anti-Piracy Protection Rights.” Any right revocation will take effect 48 hours after we receive it.
4.1 Setting the Price
You will be invited to choose a base price (“Base Price”) for your Submitted Content from a selection of possible price tiers when creating Submitted Content available for purchase on Studypro. Alternatively, you can make your Submitted Content available for free. Under the provisions of our Promotions Policy, as a premium instructor, you will be eligible to participate in some promotional activities (“Promotional Programs”).
We will list your Submitted Content for the Base Price or the closest local or mobile app equivalent if you do not decide to participate in any Promotional Programs (as detailed below). We may set a different reduced price or list price for your Submitted Content if you choose to participate in a Promotional Program, as outlined in the Promotions Policy.
When a student pays in a foreign currency, we’ll translate the relevant Base Price or Promotional Program price into the student’s native currency using a system-wide foreign currency conversion rate determined by Studypro and updated on a regular basis into a table of comparable price tiers by currency (“Price Tier Matrix”). Because the Price Tier Matrix is set in stone, those conversion rates may differ from the current market rate at the time a transaction is performed. At any time, we have the right to alter the Price Tier Matrix. The Price Tier Matrix, as well as other information about Studypro’s pricing levels, may be found here.
When a student makes a purchase through a mobile application, the pricing matrix of the mobile platform provider takes precedence, and we select the price tier that is closest to the applicable Base Price or Promotional Program price. Conversions for mobile app prices may differ from conversions in the Price Tier Matrix due to the fact that mobile platforms enforce their own currency conversion rates.
5.1 Revenue Share Payments
We determine the gross amount of a transaction as the money actually collected by Studypro from the student when a student purchases your Submitted Content (“Gross Amount”). To calculate the net amount of the sale, we subtract any Transaction Taxes, any mobile platform fees applied to mobile provider checkout sales, a 3 percent service and processing fee (except in Japan, where we subtract a 4 percent fee), and any amounts paid to third parties in connection with the Promotional Programs (“Net Amount”).
Except for sales through instructor-generated coupon codes or course referral links as indicated below, your revenue share will be 37 percent of the Net Amount less any relevant deductions, such as student refunds, if you have not enrolled into any of Studypro’s optional Promotional Programs. If we change this payment rate, we will provide you 30 days’ notice by email or by publishing a notice on our Services.
If you choose to participate in one of the Promotional Programs, your revenue share will be determined according to the Promotions Policy.
Regardless of the currency in which the sale was made, Studypro pays all instructors in US dollars (USD). Studypro is not liable for any fees associated with foreign currency translation, wire transfers, or other types of processing. The sales price (in local currency) and the converted revenue amount will be shown in your revenue report (ZAR).
5.2 Course Referral Links and Instructor Coupons
As permitted by the Services, the Studypro platform allows you to produce coupon codes and referral links to offer students particular pieces of your Submitted Content at a discount, at Studypro’s current pricing, or for free. There are restrictions on how you can use these coupon codes and referral links, and you cannot sell them on third-party websites or give them away for free. Our Trust & Safety policies provide further information and restrictions on these promo codes and referral links.
Your revenue share will be 97 percent of the Net Amount less any applicable deductions, such as student refunds, when a student uses your coupon code or referral link at checkout.
5.3 Payment Receipts
You must have a PayPal, or South African bank account (for South African residents only) in good standing and keep us updated of the right email linked with your account in order for us to pay you on time. You must also supply any identifying information required for payment of amounts due, and you agree to allow us to deduct relevant taxes from your payments. If we do not receive sufficient identifying information or tax paperwork from you, we reserve the right to withhold payments or apply additional penalties. You understand and agree that any taxes due on your earnings are ultimately your responsibility.
Payment will be made within 45 days after the end of the month in which (a) we receive the course fee or (b) the relevant course consumption happened, depending on the applicable revenue share model.
As a teacher, you must determine whether you are entitled to be paid by a corporation based in the United States. In the event of fraud, infringement of intellectual property rights, or other legal infractions, we have the right to refuse to pay out funds.
If we are unable to deposit funds into your payment account within the time period specified by your state, country, or other government authority in its unclaimed property laws, we may process the funds due to you in accordance with our legal obligations, which may include submitting the funds to the appropriate government authority as required by law.
If a student requests a refund after we have paid the relevant instructor payment, we reserve the right to either (1) deduct the amount of the refund from the next payment sent to the instructor, or (2) require the instructor to refund any amounts refunded to students for the instructor’s Submitted Content if no further payments are due to the instructor or the payments are insufficient to cover the refunded amounts.
6. Patents and trademarks
You may use our trademarks when we authorize you to do so while you are a published instructor and according to the restrictions below.
You must do the following:
- Only use the pictures of our trademarks that we provide to you, as outlined in any instructions we may issue;
- only use our trademarks in conjunction with the advertising and sale of your Studypro-available Submitted Content or your participation on Studypro; and
- If we ask you to stop using something, you must promptly comply.
You are not permitted to:
- utilize our trademarks in a deceptive or defamatory manner;
- imply that we advocate, promote, or approve of your Submitted Content or services by using our trademarks; or
- utilize our trademarks in a way that is illegal or in connection with a topic or substance that is vulgar, indecent, or illegal.
7. Getting Rid of Your Account
You can find instructions on how to remove your instructor account here. Before we delete your account, we’ll make commercially reasonable efforts to make any remaining scheduled payments that are owed to you. You acknowledge that if students have already registered in your Submitted Content, your name and Submitted Content may be accessible to those students after your account has been removed. If you need assistance or are having trouble deleting your account, please contact us through our Support Center.
Miscellaneous Legal Terms (n.d.)
8.1 Keeping These Terms Up-to-Date
We may alter these Terms from time to time to explain our practices or to reflect new or different practices (for example, when we add new features), and Studypro maintains the right to modify and/or change these Terms at any time in its sole discretion. If we make any significant changes, we will notify you via prominent means, such as an email notice sent to the email address indicated in your account or a notice posted on our Services. Unless otherwise specified, changes will take effect the day they are posted.
If you continue to use our Services after the changes take effect, you are agreeing to the changes. All prior Terms will be superseded by any amended Terms.
Any version of these Terms written in a language other than English is given for your convenience, and you understand and agree that if there is a conflict, the English language will take precedence.
8.3 Our Interpersonal Relationship
We agree that we do not have a joint venture, partnership, employment, contractor, or agency relationship.
Sections 2 (Studypro License), 3.3 (Relationship with Other Users), 5.3 (Receiving Payments), 5.4 (Refunds), 7 (Deleting Your Account), and 8 (Termination) shall survive the expiration or termination of these Terms (Miscellaneous Legal Terms).
